Terms of Service
These Terms govern your use of AdGenz.ai. They cover how accounts and workspaces work, how subscriptions and credits are billed, what you can and cannot do with our AI features, what happens when you connect Meta, and the limits of our responsibility.
The short version
- You own the brand data and creative you bring in; you also own the ads we generate for you, subject to the licenses each AI provider attaches.
- Paid plans are billed monthly or annually through Polar.sh. Credits reset each cycle and are non-refundable once spent. Cancel any time — access continues until the end of the paid period.
- AI output can be inaccurate or infringing. You are responsible for reviewing everything you publish, including ads pushed to Meta.
- If you connect Meta, you agree to follow Meta's advertising and platform policies. Don't use AdGenz for spam, fraud, scraping, abuse, or unlawful content.
1. Agreement to these Terms
These Terms of Service (the "Terms") form a binding agreement between you and AdGenz.ai ("AdGenz," "we," "us," or "our") governing your access to and use of the AdGenz.ai website, dashboard, APIs, and related services (collectively, the "Service").
By creating an account, clicking "I agree," or using the Service, you confirm that you have read, understood, and accepted these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and the organization.
If you do not agree to these Terms, do not access or use the Service.
2. Definitions

| Credits | The unit of metering for credit-priced features (image generation, ad edits, auto-create, etc.). One credit is consumed per the rate listed in your plan. |
| Meta Platform Data | Data we obtain from Meta on your behalf when you connect Facebook or Instagram, including ad-account IDs, pages, page tokens, creative assets, ad performance, and insights. |
| Platform Policies | Meta Platform Terms, Meta Developer Policies, Meta Advertising Standards, Community Standards, and any other Meta policy applicable to your use. |
3. Eligibility & accounts
3.1 Eligibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) to use the Service. The Service is not directed at children and we do not knowingly collect data from anyone under 16.
3.2 Account security
You are responsible for keeping your sign-in credentials confidential and for all activity under your Account. Tell us promptly at security@adgenz.ai if you suspect unauthorized access.
3.3 Accurate information
Provide accurate, current information when you sign up and keep it up to date. Do not impersonate any person, organization, brand, or entity, and do not misrepresent your affiliation.
3.4 Sanctioned territories
You may not access or use the Service if you are located in, ordinarily resident in, or organized under the laws of a country or region subject to comprehensive U.S. economic sanctions, or if you are listed on any U.S. or applicable sanctions list.
4. Workspaces & team access
4.1 Roles & capabilities
Workspaces support three roles — owner, admin, and member — plus per-member capability flags (publish, edit KB, manage Meta, view billing) and per-brand access controls. Owners and admins are responsible for inviting, configuring, and removing members.
4.2 Owner authority
The workspace owner is the contracting party for billing and is bound by these Terms for all activity inside the workspace, including activity by members and invitees. Owners are responsible for ensuring members comply with these Terms and applicable Platform Policies.
4.3 Invitations
By inviting someone to a workspace you confirm you have the right to share the brand data and Meta connections inside it with that person. Pending invitations expire if not accepted within the period set in the dashboard.
4.4 Activity log
We maintain an activity log of significant actions inside each workspace (generation, approval, publishing, invitations, billing changes, etc.). Owners and admins can review this log for governance and audit purposes.
5. Plans, credits & free tier
5.1 Plans
The Service is offered through tiered subscription plans (Free, Starter, Pro, Agency, Enterprise). Each plan includes a monthly allotment of credits, feature entitlements, member seats, and brand limits. Current plan terms are shown at checkout and in your in-app billing settings.
5.2 Credits
Credit-priced features consume credits at the rates listed in the Service. Credits are billing units, not currency: they have no cash value, are non-transferable, non-redeemable, and are forfeited at the end of each billing cycle unless your plan states otherwise.
5.3 Refund of credits on failure
When a credit-priced operation fails because of an AdGenz error (for example, a failed image generation that produced no output), we automatically refund the consumed credits to your balance. Failures caused by your input (e.g., a prompt rejected by a model's safety filter) do not qualify for refunds.
5.4 Free tier
The free tier is provided as-is for evaluation. It is subject to rate limits, feature restrictions, brand caps, and may be modified or discontinued at any time. Free-tier workloads must not be used to resell, white-label, or commercially redistribute the Service.
5.5 Plan downgrades & data caps
If you downgrade a plan and exceed the new plan's limits, certain features may be restricted (additional brand creation, new member invites, publishing) until you bring usage back within plan limits or upgrade.
6. Billing, renewals & refunds
6.1 Payment processor
Paid subscriptions are processed by Polar Software Inc. on our behalf. Polar handles checkout, card processing, invoices, taxes, and dunning. AdGenz never stores your full payment-card details. Your relationship with Polar is governed by Polar's terms.
6.2 Billing cycles & auto-renewal
Subscriptions renew automatically at the end of each billing cycle (monthly or annual, as selected) until cancelled. You authorize us, through Polar, to charge your payment method for renewals and any applicable taxes.
6.3 Taxes
Fees are exclusive of taxes. You are responsible for any sales, use, VAT, GST, or similar taxes assessed on your subscription, except for taxes based on our net income.
6.4 Cancellation
You can cancel your subscription at any time from in-app billing settings or via Polar. Cancellation stops auto-renewal; you keep access to paid features through the end of the period you have already paid for.
6.5 Refunds
Except where required by applicable law (e.g., statutory rights of withdrawal in the EU/UK for digital services), subscription fees are non-refundable, and we do not offer partial refunds for unused portions of a billing cycle, unused credits, or accounts cancelled mid-cycle. Statutory refund rights, where they apply, take precedence over this paragraph.
6.6 Price changes
We may change subscription prices and credit costs. We will give at least 30 days notice for price increases on existing subscriptions, with the new price applying at your next renewal. If you do not agree, you may cancel before the new price takes effect.
6.7 Failed payments
If a renewal payment fails, we may suspend paid features until the balance is settled. After repeated failures we may downgrade your workspace to the free tier or terminate the Account in accordance with section 16.
7. Acceptable use
You agree not to use the Service to do, or attempt to do, any of the following:
- Violate any law or regulation, infringe any third party's intellectual property, publicity, or privacy rights, or violate Meta's Platform Policies or any other applicable advertising platform's policies.
- Generate, distribute, or publish content that is unlawful, defamatory, harassing, hateful, deceptive, fraudulent, sexually explicit involving minors, or otherwise prohibited by Meta's advertising standards.
- Use the Service for spam, phishing, malware distribution, scams, deceptive discounting, prohibited financial-services claims, or any operation we reasonably believe is fraudulent.
- Impersonate any person, brand, or organization, or misrepresent your identity or authority to act on a brand's behalf.
- Reverse-engineer, decompile, copy, modify, or attempt to derive the source code of the Service or any model used by the Service, except to the extent applicable law expressly permits.
- Scrape, crawl, or use automated means to extract data from the Service beyond the rate or method our published APIs permit, or interfere with rate limits, billing meters, or security controls.
- Use the Service to train a competing product, large language model, image model, or AI agent, including by using Generated Output as training data for such products.
- Probe, scan, or test the vulnerability of the Service without prior written authorization. Responsible disclosure is welcome — write to security@adgenz.ai.
- Upload knowledge-base content, brand assets, or prompts that contain sensitive categories of personal data (health, biometric, sexual orientation, etc.), regulated information, or third-party confidential materials you are not authorized to share.
8. Your content & licenses you grant us
8.1 Ownership of Customer Content
You retain all right, title, and interest in your Customer Content. We claim no ownership over the brand data, knowledge bases, source ads, or other inputs you bring to the Service.
8.2 License to operate the Service
You grant AdGenz a worldwide, royalty-free, non-exclusive license to host, copy, transmit, process, display, modify, and create derivative works of your Customer Content solely as needed to (a) operate, secure, and improve the Service for you, (b) generate the outputs you request, (c) share content with the sub-processors listed in our Privacy Policy, and (d) comply with applicable law.
8.3 Your representations
You represent and warrant that you have all rights, licenses, consents, and permissions needed to upload your Customer Content and to authorize the licenses described above, and that your Customer Content (and our processing of it on your instructions) does not violate the rights of any third party or any law.
8.4 Backup & deletion
While we maintain reasonable backups, you are responsible for keeping your own copies of important content. You can delete brands, workspaces, and Account data from the dashboard or by writing to privacy@adgenz.ai — see section 12 of the Privacy Policy for details.
9. AI-generated output
9.1 Ownership of Generated Output
Subject to your compliance with these Terms and any restrictions imposed by the underlying AI provider, AdGenz assigns to you all rights it has in the Generated Output produced for your workspace. You can use Generated Output for any lawful business purpose, including advertising on Meta and other platforms.
9.2 Provider terms apply
Generated Output is created by third-party AI models (Anthropic Claude, Google Gemini, Fal AI image models). Each provider's API terms control what you can do with the output. You are responsible for reading and complying with the applicable provider terms when using Generated Output outside the Service.
9.3 No uniqueness guarantee
Generative models can produce similar or identical outputs for different users from similar prompts. We do not warrant that Generated Output is unique, non-infringing, original, or available for trademark or copyright registration.
9.4 Human-review obligation
9.5 Disallowed prompting
Do not prompt the Service to produce content that violates section 7 (Acceptable use), Meta's advertising or community standards, or the safety policies of the underlying model providers.
9.6 No model training on your inputs
We do not train our own foundation models on your Customer Content or Generated Output, and we rely on enterprise/API terms with our providers that exclude API content from training their public models by default. See the Privacy Policy section on AI processing for details.
10. Meta integration & advertiser duties
10.1 Connecting Meta
When you connect a Facebook or Instagram account, you grant AdGenz permission to access and use Meta Platform Data through Meta's Graph and Marketing APIs to deliver the publishing and reporting features you request.
10.2 Compliance with Meta Platform Policies
You agree to comply with all Meta Platform Policies that govern the use of Meta Platform Data and the placement of ads, including Meta Platform Terms, Meta Advertising Standards, Meta Developer Policies, Community Standards, and any other applicable policies. Where these Terms and Meta's Platform Policies conflict for Meta-specific activity, Meta's Platform Policies prevail.
10.3 Advertiser responsibility
You are the advertiser of record for ads you publish through AdGenz to Meta. You are solely responsible for: (a) ad creative accuracy, claims, and substantiation; (b) compliance with industry, sectoral, and jurisdictional advertising rules (financial services, health, alcohol, political, etc.); (c) targeting and audience selection; (d) any spend, budgets, billing, and chargebacks owed to Meta; and (e) the legal landing pages and offers you advertise.
10.4 Ads always created paused
AdGenz creates ads in Meta in paused state by default. You are responsible for reviewing each ad inside Meta's Ads Manager and activating campaigns; activation is your decision and your responsibility.
10.5 Disconnect & revocation
You may revoke our access to your Meta accounts at any time from in-app settings or by removing the AdGenz app from your Facebook business integrations. Revocation does not retroactively unpublish ads that have already been created in Meta — you control those in Ads Manager.
10.6 No Meta endorsement
AdGenz is independent from Meta. Meta does not endorse, certify, or guarantee the Service.
11. Third-party services
The Service interoperates with third-party services (such as Meta, Polar, Supabase, Anthropic, Google, Fal AI, Supermemory, Inngest, Resend, Upstash, Vercel, Firecrawl). Your use of these services is governed by their own terms, and we are not responsible for them. Outages, deprecations, or policy changes at third parties may affect the Service.
Links from the Service to external sites are provided for convenience and do not imply endorsement.
12. Our IP & your feedback
12.1 AdGenz IP
The Service, including the AdGenz software, dashboards, templates, prompt libraries, copy frameworks (HALO and the proprietary frameworks bundled with the Service), pipeline orchestration, brand-asset processing, and all related documentation, is owned by AdGenz or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
12.2 Trademarks
"AdGenz," the AdGenz logo, and related marks are trademarks of AdGenz. You may not use them without our prior written consent except for fair, descriptive reference to the Service.
12.3 Feedback
If you send us ideas, suggestions, or feedback about the Service, you grant AdGenz a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and exploit your feedback for any purpose without obligation to you.
13. Confidentiality
Each party may receive non-public information from the other ("Confidential Information") marked or reasonably understood to be confidential. The receiving party will use reasonable care to protect it, use it only to perform under these Terms, and not disclose it except to its personnel and advisors under similar confidentiality obligations. Confidential Information does not include information that is or becomes public without breach, was rightfully known before disclosure, is independently developed, or is rightfully received from a third party without confidentiality obligations.
14. Privacy
Our handling of personal data is described in the Privacy Policy. By using the Service you acknowledge that policy. Where we process personal data on your behalf (for example, contacts in your knowledge base), we act as a data processor and you act as the data controller, and our processing is governed by the data-processing terms summarized in the Privacy Policy.
15. Suspension
We may suspend access to all or part of the Service, with or without notice, if we reasonably believe that: (a) your use threatens the security, integrity, or availability of the Service or any third-party system; (b) you or a member of your workspace has materially breached these Terms or any Platform Policy; (c) payment is overdue; or (d) we are required to do so by law or by a request from a competent authority.
Where reasonably practicable and lawful, we will notify you before or promptly after suspension and work with you to resolve the underlying issue.
16. Term, termination & survival
16.1 Term
These Terms apply from the moment you first access the Service and continue until terminated.
16.2 Termination by you
You can stop using the Service and delete your Account at any time from in-app settings or by writing to privacy@adgenz.ai. Cancellation of a paid plan is handled in section 6.4.
16.3 Termination by us
We may terminate or restrict your access to the Service immediately if you materially breach these Terms (including section 7 Acceptable use and section 10 Meta-related duties), use the Service in a way that exposes us or third parties to legal liability, fail to pay overdue amounts, or if we discontinue the Service.
16.4 Effect of termination
On termination: (a) your right to use the Service ends; (b) we may delete your Customer Content after a reasonable grace period in line with the Privacy Policy; (c) accrued fees remain due; and (d) the sections that by their nature should survive (definitions, your content licenses, AI-output terms, our IP, feedback, warranty disclaimers, liability limits, indemnification, disputes, miscellaneous, and this section) will survive termination.
17. Warranty disclaimers
Please read carefully — the following disclaim warranties to the maximum extent permitted by law.
The Service and any Generated Output are provided "as is" and "as available," with all faults and without warranty of any kind. To the maximum extent permitted by law, AdGenz disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, freedom from defects or harmful components, and any warranty arising out of course of dealing or usage of trade.
We do not warrant that: (a) the Service will meet your requirements or operate uninterrupted, secure, or error-free; (b) Generated Output will be accurate, non-infringing, original, lawful, or fit for any particular use; (c) any defects will be corrected; or (d) the Service or any associated infrastructure is free of viruses or other harmful components.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply only to the extent permitted.
18. Limitation of liability
To the maximum extent permitted by law:
- Excluded damages. Neither party will be liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if advised of the possibility of such damages.
- Cap. Our total cumulative liability arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid to AdGenz for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) US$100.
- AI outputs & Meta activity. We are not responsible for losses arising from your decision to publish, modify, or rely on Generated Output, from ads you cause to be created or activated on Meta, from third-party policy decisions (including Meta's suspension or rejection of accounts, campaigns, or pages), or from outages or behavior of any third-party service listed in section 11.
These limitations apply to all claims, whether based on contract, tort (including negligence), strict liability, or any other theory, and survive any failure of essential purpose of any limited remedy. Some jurisdictions do not allow the exclusion or limitation of certain damages or liability; in those jurisdictions our liability is limited to the smallest extent permitted by law.
19. Indemnification
You will defend, indemnify, and hold harmless AdGenz, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claim, demand, action, loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or related to: (a) your or your workspace members' breach of these Terms; (b) your Customer Content or your instructions to the Service; (c) Generated Output that you publish, modify, or distribute; (d) your advertising activity, including any ads published to Meta or another platform; or (e) your violation of any law or third-party right.
We will (i) promptly notify you of the claim, (ii) give you sole control of the defense and settlement (provided you do not settle any claim that imposes any obligation on us without our prior written consent), and (iii) reasonably cooperate with your defense at your expense.
20. Governing law & disputes
20.1 Governing law
These Terms are governed by the laws of the jurisdiction in which AdGenz is organized, without regard to its conflict-of-law principles, and excluding the United Nations Convention on Contracts for the International Sale of Goods.
20.2 Informal resolution first
Before filing any formal proceeding, you agree to contact us at legal@adgenz.ai with a written description of the dispute and to attempt in good faith to resolve the matter for at least 30 days.
20.3 Forum
Subject to section 20.2, any dispute that cannot be resolved informally will be brought exclusively in the courts located in the jurisdiction in which AdGenz is organized, and each party irrevocably submits to that jurisdiction and venue.
20.4 No class actions
To the maximum extent permitted by law, each party waives any right to bring or participate in a class, collective, consolidated, or representative action against the other.
20.5 Statute of limitations
Any claim must be filed within one (1) year after the cause of action arises, except where applicable law prohibits such limitation.
20.6 Mandatory local-law rights
Nothing in this section limits any non-waivable consumer-protection or other mandatory rights granted to you by the law of your country of residence.
21. Changes to these Terms
We may update these Terms as the Service and applicable law evolve. The "Last updated" date at the top of this page reflects the latest revision. For material changes, we will give workspace owners reasonable advance notice — at least 14 days where practicable — by email or in-app notice before the change takes effect.
Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms. If you do not accept a change, you may cancel your subscription and stop using the Service before it takes effect.
22. Miscellaneous
22.1 Entire agreement
These Terms, together with the Privacy Policy and any order form or written agreement we sign with you, are the entire agreement between you and AdGenz concerning the Service and supersede any prior or contemporaneous understanding.
22.2 Order of precedence
In case of conflict, a separately signed written agreement controls over these Terms, which control over the Privacy Policy for matters expressly addressed in these Terms, which control over any in-product copy. For Meta-specific activity, Meta's Platform Policies prevail to the extent of any conflict.
22.3 Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
22.4 Severability & waiver
If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permitted and the rest will remain in effect. Failure to enforce any provision is not a waiver of that or any other provision.
22.5 Force majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, internet or telecommunication failures, third-party platform outages, or government action.
22.6 No agency
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and AdGenz.
22.7 Notices
We may give notice by email to the address associated with your Account or by in-product notice. You may give notice to us by email to legal@adgenz.ai.
22.8 Export controls
You agree to comply with all applicable export and re-export control laws and regulations in your use of the Service and Generated Output.
